Article D211-44 of the French Sports Code

The Board of Directors decides on the business of the school. In particular, it deliberates on :

1° The general policy and objectives of the establishment and gives its approval to the general guidelines and measures relating to the organisation and operation of the establishment;

2° The budget and amending decisions to the budget;

3° The financial statements and the allocation of the results for the financial year;

4° The annual activity report drawn up by the Director;

5° The categories of agreements which, by virtue of their nature or the financial amounts involved, must be submitted to it for approval, and those for which it delegates responsibility to the Director;

6° The establishment’s internal rules and those of the Board of Directors;

7° The general terms and conditions of sale for products and services provided by the establishment;

8° loans;

9° Acceptance or refusal of gifts and bequests; it may delegate these powers to the Director under the conditions it determines;

10° Acquiring, disposing of and exchanging buildings, leases and mortgages;

11° Participation in public interest groups;

12° transfers or concessions of industrial property rights;

13° The general conditions of employment and remuneration of contractual agents;

14° Legal proceedings and settlements; it may, under the conditions it determines, delegate these powers to the Director.

The Board of Directors gives its opinion on any matter on which the Minister for Sport consults it.

The Director reports to the Board on the decisions he has taken by virtue of his delegation.

Le conseil d’administration règle par ses délibérations les affaires de l’établissement. Il délibère notamment sur :

1° La politique générale et les objectifs de l’établissement et donne son accord sur les orientations et les mesures générales relatives à l’organisation et au fonctionnement de l’établissement ;

2° Le budget et les décisions modificatives du budget ;

3° Le compte financier et l’affectation des résultats de l’exercice ;

4° Le rapport annuel d’activité élaboré par le directeur ;

5° Les catégories de conventions qui, en raison de leur nature ou montant financier engagé, doivent lui être soumis pour approbation et celles dont il délègue la responsabilité au directeur ;

6° Le règlement intérieur de l’établissement et celui du conseil d’administration ;

7° Les conditions générales de vente des produits et services fournis par l’établissement ;

8° Les emprunts ;

9° L’acceptation ou le refus des dons et legs ; il peut, dans les conditions qu’il détermine, déléguer ces attributions au directeur ;

10° Les acquisitions, aliénations et échanges d’immeubles, les baux et les octrois d’hypothèque ;

11° La participation à des groupements d’intérêt public ;

12° Les cessions ou concessions de droits de propriété industrielle ;

13° Les conditions générales d’emploi et de rémunération des agents contractuels ;

14° L’exercice des actions en justice et des transactions ; il peut, dans les conditions qu’il détermine, déléguer ces attributions au directeur.

Le conseil d’administration donne son avis sur toute question pour laquelle le ministre chargé des sports le consulte.

Le directeur rend compte au conseil des décisions qu’il a prises en vertu de sa délégation.
