Article L22-10-56 of the French Commercial code

In a company whose shares are admitted to trading on a regulated market, the options mentioned in article L. 225-177 may not be granted:

1° During the ten trading sessions preceding the date on which the annual and interim consolidated financial statements or, failing that, the annual and half-yearly financial statements are made public, and on the day of publication;

2° Within the period between the date on which the company’s governing bodies become aware of inside information within the meaning of Article 7 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/ EC of the European Parliament and of the Council and Commission Directives 2003/124/ EC, 2003/125/ EC and 2004/72/ EC, and the date on which that information is made public.

Dans une société dont les actions sont admises aux négociations sur un marché réglementé, les options mentionnées à l’article L. 225-177 ne peuvent être consenties :

1° Dans le délai de dix séances de bourse précédant la date à laquelle les comptes consolidés annuels et intermédiaires ou, à défaut, les comptes annuels et semestriels sont rendus publics, ainsi que le jour de la publication ;

2° Dans le délai compris entre la date à laquelle les organes sociaux de la société ont connaissance d’une information privilégiée au sens de l’article 7 du règlement (UE) n° 596/2014 du Parlement européen et du Conseil du 16 avril 2014 sur les abus de marché (règlement relatif aux abus de marché) et abrogeant la directive 2003/6/ CE du Parlement européen et du Conseil et les directives 2003/124/ CE, 2003/125/ CE et 2004/72/ CE de la Commission, et la date à laquelle cette information est rendue publique.
