Article L227-2 of the French Commercial code

A société par actions simplifiée may not make a public offer of financial securities or admit its shares to trading on a regulated market. However, it may make the offers referred to:

1° In point i of paragraph 4 of Article 1 of Regulation (EU) No 2017/1129 of 14 June 2017;

2° In Article L. 411-2 of the Monetary and Financial Code;

3° To 2° and 3° of Article L. 411-2-1 of the same code.

Article L227-2

La société par actions simplifiée ne peut procéder à une offre au public de titres financiers ou à l’admission aux négociations sur un marché réglementé de ses actions. Elle peut néanmoins procéder aux offres mentionnées :


1° Au point i du paragraphe 4 de l’article 1er du règlement (UE) n° 2017/1129 du 14 juin 2017 ;


2° A l’article L. 411-2 du code monétaire et financier ;


3° Aux 2° et 3° de l’article L. 411-2-1 du même code.
