Article R141-2 of the French Insurance Code

In order to exercise their voting rights at the General Meeting, members may give a proxy to another member, to their spouse or, if permitted by the Articles of Association, to a third party. Each member has one vote.

Proxies may pass on the powers conferred on them to other proxies or members. The Association’s Articles of Association specify the number of proxies that any one member may hold, up to a limit of 5% of the voting rights.

The Articles of Association may not restrict voting rights to proxies holding a minimum number of proxies.

Pour l’exercice des droits de vote à l’assemblée générale, les adhérents ont la faculté de donner mandat à un autre adhérent, à leur conjoint ou, si les statuts le permettent, à un tiers. Chaque adhérent dispose d’une voix.

Les mandataires peuvent remettre les pouvoirs qui leur ont été conférés à d’autres mandataires ou adhérents. Les statuts de l’association précisent le nombre de pouvoirs dont un même adhérent peut disposer, dans la limite de 5 % des droits de vote.

Les statuts ne peuvent pas prévoir de réserver la possibilité de voter aux seuls mandataires disposant d’un nombre minimum de pouvoirs.
