Article R310-4 of the French Insurance Code

I.-The information relating to the portfolio management mandate contract or collective investment subscription contract mentioned in II of Article L. 310-1-1-2 is as follows

1° The way in which this contract encourages the portfolio management company or the investment firm to align its investment strategy and decisions with the profile and duration of the liabilities of the contracting company, particularly its long-term liabilities;

2° The way in which this contract encourages the portfolio management company or the investment firm to make investment decisions based on assessments of the medium and long-term performance, both financial and non-financial, of the companies in which it holds equity securities and to become involved, as a shareholder, with regard to these companies in order to improve their medium and long-term performance;

3° The manner in which the method and time horizon for assessing the performance of the portfolio management company or investment firm and the remuneration of asset management services are appropriate to the profile and duration of the liabilities of the contracting undertaking, in particular its long-term liabilities, and take account of absolute long-term performance;

4° The manner in which the contracting firm controls the portfolio turnover costs of the portfolio management company or the investment firm and the manner in which it defines and controls the turnover or turnover rate of a target portfolio;

5° The duration of the contract;

When the contract with the portfolio management company or the investment firm does not contain one or more of these elements, the contracting firm must specify the reasons.

II – The information referred to in the first paragraph of II of Article L. 310-1-1-2 and the information referred to in I of this Article shall be made available free of charge on the website of the undertaking to which Article L. 310-1-1-2 applies and shall be updated annually or following any substantial change. Insurance and reinsurance undertakings publishing a report on their solvency and financial situation under the conditions provided for in Article L. 355-5 may also include this information.

I.-Les informations relatives au contrat de mandat de gestion de portefeuille ou au contrat de souscription à un placement collectif mentionnées au II de l’article L. 310-1-1-2 sont les suivantes :

1° La manière dont ce contrat incite la société de gestion de portefeuille ou l’entreprise d’investissement à aligner sa stratégie et ses décisions d’investissement sur le profil et la durée des passifs de l’entreprise cocontractante, notamment de ses passifs de long terme ;

2° La manière dont ce contrat incite la société de gestion de portefeuille ou l’entreprise d’investissement à prendre des décisions d’investissement fondées sur des évaluations des performances à moyen et à long terme, financières et non financières, des sociétés dont des titres de capital sont détenus et à s’impliquer, en tant qu’actionnaire, à l’égard de ces sociétés afin d’améliorer leurs performances à moyen et à long terme ;

3° La manière dont la méthode et l’horizon temporel de l’évaluation des performances de la société de gestion de portefeuille ou de l’entreprise d’investissement et la rémunération des services de gestion d’actifs sont en adéquation avec le profil et la durée des passifs de l’entreprise cocontractante, notamment de ses passifs de long terme, et tiennent compte des performances absolues de long terme ;

4° La manière dont l’entreprise cocontractante contrôle les coûts de rotation du portefeuille de la société de gestion de portefeuille ou de l’entreprise d’investissement et la manière dont elle définit et contrôle la rotation ou le taux de rotation d’un portefeuille cible ;

5° La durée du contrat ;

Lorsque le contrat avec la société de gestion de portefeuille ou l’entreprise d’investissement ne contient pas un ou plusieurs de ces éléments, l’entreprise cocontractante en précise les motifs.

II.-Les informations visées au premier alinéa du II de l’article L. 310-1-1-2 et celles visées au I du présent article sont mises à disposition gratuitement sur le site internet de l’entreprise à laquelle l’article L. 310-1-1-2 est applicable et sont mises à jour sur une base annuelle ou à la suite d’une modification substantielle. Les entreprises d’assurance et de réassurance publiant un rapport sur leur solvabilité et leur situation financière dans les conditions prévues à l’article L. 355-5, peuvent en outre y faire figurer ces informations.
