Article R4113-28 of the French Public Health Code

The company is formed subject to the condition precedent of its registration on the Roll of the Association.

The application for registration is submitted collectively by the partners and sent to the Conseil départemental de l’ordre where the company’s registered office is located, by registered letter with acknowledgement of receipt, accompanied by :

1° A copy of the company’s Articles of Association and, if any have been drawn up, of its by-laws and, where applicable, a copy of the Memorandum of Association;

2° A certificate of enrolment of each partner on the roll, drawn up by the departmental council of the association to which enrolment of the company is requested or, for partners not yet enrolled on the roll, proof of the application for enrolment.

La société est constituée sous la condition suspensive de son inscription au tableau de l’ordre.

La demande d’inscription est présentée collectivement par les associés et adressée au conseil départemental de l’ordre du siège de la société, par lettre recommandée avec demande d’avis de réception accompagnée :

1° D’un exemplaire des statuts et, s’il en a été établi, du règlement intérieur de la société ainsi que, le cas échéant, une expédition ou une copie de l’acte constitutif ;

2° D’un certificat d’inscription de chaque associé au tableau, établi par le conseil départemental de l’ordre auquel est demandée l’inscription de la société ou, pour les associés non encore inscrits à ce tableau, la justification de la demande d’inscription.
