Article R122-8 of the French Sports Code

I.-The agreement referred to in article L. 122-14 includes stipulations specifying :

1° The definition of the activities linked to the amateur sector and the activities linked to the professional sector for which the association and the company are respectively responsible;

2° The division between the association and the company of activities relating to sports training;

3° The terms of the company’s participation in activities which remain the responsibility of the association;

4° The conditions under which the land, buildings and facilities will be used by both parties and, where applicable, their relationship with the owner of these facilities;

5° The conditions, and in particular the consideration, for the grant or transfer of the name, trademark or other distinctive signs of the association;

6° The term of the agreement, which must end at the end of a sports season, but may not exceed five years;

7° The terms of renewal of the agreement, which must not include the possibility of tacit renewal.

II – The agreement also stipulates :

1° That the participation of professional teams in competitions on the federal calendar or organised by the professional league is the responsibility of the company for the duration of the agreement, provided that the federation has authorised the company to use the affiliation number issued to the association for this purpose;

2° That the functions of director of the association, on the one hand, and chairman or member of the board of directors, chairman or member of the supervisory board, member of the management board or manager of the company, on the other, must be exercised by different natural persons;

3° That no director of the association may receive remuneration, in any form whatsoever, from the company, nor may any director of the company receive remuneration from the association.

Article R122-8

I.-La convention mentionnée à l’article L. 122-14 comporte des stipulations précisant :

1° La définition des activités liées au secteur amateur et des activités liées au secteur professionnel dont l’association et la société ont respectivement la responsabilité ;

2° La répartition entre l’association et la société des activités liées à la formation des sportifs ;

3° Les modalités de participation de la société aux activités qui demeurent sous la responsabilité de l’association ;

4° Les conditions dans lesquelles les terrains, les bâtiments et les installations seront utilisés par l’une et l’autre parties et, le cas échéant, les relations de celles-ci avec le propriétaire de ces équipements ;

5° Les conditions, et notamment les contreparties, de la concession ou de la cession de la dénomination, de la marque ou des autres signes distinctifs de l’association ;

6° La durée de la convention, qui doit s’achever à la fin d’une saison sportive, sans pouvoir dépasser cinq ans ;

7° Les modalités de renouvellement de la convention, qui ne doivent pas inclure de possibilité de reconduction tacite.

II.-La convention prévoit également :

1° Que la participation des équipes professionnelles aux compétitions inscrites au calendrier fédéral ou organisées par la ligue professionnelle relève de la compétence de la société pour la durée de la convention, dès lors que la fédération a autorisé la société à faire usage à cette fin du numéro d’affiliation délivré à l’association ;

2° Que les fonctions de dirigeant de l’association, d’une part, de président ou de membre du conseil d’administration, de président ou de membre du conseil de surveillance, de membre du directoire ou de gérant de la société, d’autre part, doivent être exercées par des personnes physiques différentes ;

3° Qu’aucun dirigeant de l’association ne peut percevoir de rémunération, sous quelque forme que ce soit, de la part de la société, ni aucun dirigeant de la société de la part de l’association.
