Within a period of one month from the date of registration of the company, a copy of the Articles of Association drawn up in the form of a notarial deed or an original copy of the Articles of Association drawn up in the form of a private deed shall be filed, at the request of a manager, with the secretary-registrar of the judicial court at the location of the company’s registered office, to be placed in a file opened in the name of the company.
Until this formality has been completed, the provisions of the Articles of Association are not enforceable against third parties, who may, however, rely on them.
Any interested party may obtain, at his own expense, from the secretary-registrar, an extract from the Articles of Association containing, to the exclusion of all other information, the identity of the members, the address of the company’s registered office, the company name, the duration for which the company was formed, the clauses relating to the powers of the members, their financial liability and the dissolution of the company.
