Article R141-9 of the French Insurance Code

The duties of a member of the Board of Directors are free of charge. However, if the Articles of Association so provide, the Board of Directors may decide to allocate, within the limits set by the General Meeting, compensation and benefits in respect of Board membership to its directors.

The Chairman of the Board of Directors shall inform the General Meeting each year of the amount of compensation and benefits allocated in accordance with the first paragraph to the members of the Board of Directors. He shall also inform the General Meeting of any remuneration paid by the insurance undertaking to one or more members of the Board of Directors and linked to the amount of contributions or the outstanding amount of contracts underwritten by the association.

Les fonctions de membre du conseil d’administration sont gratuites. Cependant, si les statuts le prévoient, le conseil d’administration peut décider d’allouer, dans les limites fixées par l’assemblée générale, des indemnités et avantages au titre de membre du conseil à ses administrateurs.

Le président du conseil d’administration informe chaque année l’assemblée générale du montant des indemnités et avantages alloués conformément au premier alinéa aux membres du conseil d’administration. Il informe également l’assemblée générale de toute rémunération versée par l’entreprise d’assurance à un ou à plusieurs membres du conseil d’administration et liée au montant de cotisations ou à l’encours des contrats souscrits par l’association.
