Article R311-11 of the French Insurance Code

Without prejudice to the provisions of Article L. 311-29, any compensation paid in consideration for a transfer carried out pursuant to 3° and 4° of Article L. 311-30, Article L. 311-36, Article L. 311-42, Article L. 311-48 or Article L. 311-50 shall be paid by the acquirer:

1° To the owners of the equity securities mentioned in Chapter II of Title I of Book II of the Monetary and Financial Code or of the other ownership securities that have been transferred to the acquirer;

2° To the person subject to a resolution procedure, when this person transfers part of its assets;

3° To the insurance undertaking transferring its fiduciary liability in the case of a transfer carried out in accordance with Article L. 311-48.

Article R311-11

Sans préjudice des dispositions de l’article L. 311-29, toute indemnisation versée en contrepartie d’un transfert réalisé en application des 3° et 4° de l’article L. 311-30, de l’article L. 311-36, de l’article L. 311-42, de l’article L. 311-48 ou de l’article L. 311-50 est versée par l’acquéreur :

1° Aux propriétaires des titres de capital mentionnés au chapitre II du titre Ier du livre II du code monétaire et financier ou des autres titres de propriété qui ont été transférés à l’acquéreur ;

2° A la personne soumise à une procédure de résolution, lorsque cette personne cède une partie de son patrimoine ;

3° A l’entreprise d’assurance cédant son engagement sur le patrimoine fiduciaire dans le cas d’un transfert réalisé conformément à l’article L. 311-48.
