Section 5: Companies of court-appointed administrators and agents

The company is formed under the suspensive condition of its registration on the national list of judicial administrators provided for by Article L. 811-2 or on the national list of judicial representatives provided for by article L. 812-2.

Sociétés civiles professionnelles d’administrateurs judiciaires and sociétés civiles professionnelles de mandataires judiciaires are governed by the provisions of Decree no. 78-704 du 3 juillet 1978 relatif à l’application de la loi n° 78-9 du 4 janvier 1978 modifiant le titre IX du livre III du code civil, sous réserve des dispositions de la présente section.

The registered office of the société civile professionnelle is fixed at the professional domicile common to several or all of the partners or at the professional domicile of one of them.

the Commission nationale d’inscription et de discipline may request from an auditor referred to in Article R. 814-29 an opinion on the value of contributions in kind.

Company shares may not be pledged as collateral. Their nominal amount may not be less than 150 euros.

Interest shares allocated to contributors in industry are non-transferable. They are cancelled when their holder loses the status of partner for any reason whatsoever.

Company shares corresponding to cash contributions must be paid up, at the time of subscription, by at least half of their nominal value. The remainder must be paid up, in one or more instalments, either on the dates stipulated in the Articles of Association, or by decision of the members’ meeting and at the latest within two years of the company’s registration on the list. The company or its liquidator is exempt from inserting in a medium authorised to receive legal announcements the notices and deeds provided for in articles 22, 24, 26, 27 and 29 of Decree no. 78-704 of 3 July 1978.
