Article R2221-4 of the French General Code of Local Authorities

The Articles of Association lay down the general rules for the organisation and operation of the Board of Directors or the Operating Board and the quorum arrangements.

With regard to the members of the board of directors and the operating board, the articles of association shall in particular lay down:

1° Their number, which may not be less than three;

2° The categories of persons from which those of them who do not belong to the municipal council are chosen;

3° The term of their office and the term of office of the chairman and the vice-chairman or vice-chairmen. These terms may not exceed that of the municipal mandate;

4° Their method of renewal.

Les statuts fixent les règles générales d’organisation et de fonctionnement du conseil d’administration ou du conseil d’exploitation et les modalités de quorum.

S’agissant des membres du conseil d’administration et du conseil d’exploitation, les statuts fixent notamment :

1° Leur nombre qui ne peut être inférieur à trois ;

2° Les catégories de personnes parmi lesquelles sont choisis ceux d’entre eux n’appartenant pas au conseil municipal ;

3° La durée de leurs fonctions ainsi que la durée du mandat du président et du ou des vice-présidents. Ces durées ne peuvent excéder celle du mandat municipal ;

4° Leur mode de renouvellement.
