TITLE II: MUNICIPAL SERVICES

The régie, which has legal personality and financial autonomy, is administered by a board of directors and its chairman, as well as a director.

The régie with sole financial autonomy is administered, under the authority of the mayor and the municipal council, by an operating board and its chairman as well as a director. The same operating board or the same director may be responsible for the administration or management of several régies.

The Articles of Association lay down the general rules for the organisation and operation of the Board of Directors or the Operating Board and the quorum arrangements. With regard to the members of the board of directors and the operating board, the articles of association shall in particular lay down: 1° Their number, which may not be less than three; 2° The categories of persons from which those of them…

The members of the board of directors or the operating board are appointed by the municipal council, on the proposal of the mayor. Their duties are terminated in the same manner.

Representatives of the municipality must hold the majority of seats on the board of directors or the operating board.

Members of the board of directors or the operating board must enjoy their civil and political rights.

Members of the board of directors or the operating board may not: 1° Take or retain an interest in undertakings connected with the public service authority; 2° Hold a position in such undertakings; 3° Provide a service for such undertakings; 4° Lend their assistance to the public service authority for valuable consideration. The Board of Directors or the Operating Board elects, from among its members, its Chairman and one or more Vice-Chairmen. The Board of Directors or the Operating Board meets at least every three months when convened by its Chairman.
