Article 1832-2 of the French Civil Code

A spouse may not, under the penalty provided for in article 1427, use joint property to make a contribution to a company or acquire non-negotiable company shares without his or her spouse having been notified and without this being justified in the deed.

The status of partner is recognised in whichever of the spouses makes the contribution or carries out the acquisition.

Spouse who has notified the company of his intention to become a partner personally is also recognised as a partner for half of the shares subscribed or acquired. Where he notifies his intention at the time of the contribution or acquisition, the acceptance or approval of the partners is valid for both spouses. If this notification is subsequent to the contribution or acquisition, the approval clauses provided for this purpose by the Articles of Association may be invoked against the spouse; when the approval is deliberated, the partner spouse does not take part in the vote and his or her shares are not taken into account for the calculation of the quorum and majority.

The provisions of this article apply only in companies whose shares are not negotiable and only until the dissolution of the community.

Un époux ne peut, sous la sanction prévue à l’article 1427, employer des biens communs pour faire un apport à une société ou acquérir des parts sociales non négociables sans que son conjoint en ait été averti et sans qu’il en soit justifié dans l’acte.

La qualité d’associé est reconnue à celui des époux qui fait l’apport ou réalise l’acquisition.

La qualité d’associé est également reconnue, pour la moitié des parts souscrites ou acquises, au conjoint qui a notifié à la société son intention d’être personnellement associé. Lorsqu’il notifie son intention lors de l’apport ou de l’acquisition, l’acceptation ou l’agrément des associés vaut pour les deux époux. Si cette notification est postérieure à l’apport ou à l’acquisition, les clauses d’agrément prévues à cet effet par les statuts sont opposables au conjoint ; lors de la délibération sur l’agrément, l’époux associé ne participe pas au vote et ses parts ne sont pas prises en compte pour le calcul du quorum et de la majorité.

Les dispositions du présent article ne sont applicables que dans les sociétés dont les parts ne sont pas négociables et seulement jusqu’à la dissolution de la communauté.
