Subject to the application of Law no. 66-879 of 29 November 1966 relating to professional non-trading companies and of the present section, all the legislative and regulatory provisions relating to the practice of the profession of doctor or dental surgeon and in particular to professional ethics and discipline are applicable to the members of the company and, insofar as they are applicable to legal entities, to the professional non-trading company…

The qualification of “société civile professionnelle de médecins” or “société civile professionnelle de chirurgiens-dentistes”, to the exclusion of any other, accompanies the company name in all correspondence and documents issued by the company. In professional documents, each partner indicates, in addition to his surname, the company name determined in accordance with the provisions of article 8 of law no. 66-879 of 29 November 1966 relating to professional non-trading companies.

A partner, whether a doctor or a dental surgeon, may not practise his or her profession on an individual basis except free of charge, nor may he or she be a member of another professional partnership in the same medical profession.

Subject to the provisions of article R. 4113-72, the members devote all their professional activity as doctors or dental surgeons to the company.

I. – The members of a société civile professionnelle de médecins or de chirurgiens-dentistes have a common professional residence. II. – A société civile professionnelle de médecins may carry on its professional activity at one or more sites other than its usual professional residence, provided that it sends a prior declaration of the opening of a separate place of practice to the departmental council within whose jurisdiction the planned activity…

The company, like the partners themselves, is subject to all the laws and regulations governing the profession’s relationship with the health insurance scheme.

All registers and documents are opened and drawn up in the name of the company.

It is the responsibility of the company to provide proof of the liability insurance provided for in the second paragraph of article 16 of law no. 66-879 of 29 November 1966 relating to professional non-trading companies.

The company may be subject to disciplinary proceedings independently of those brought in any capacity whatsoever against the members before the disciplinary chamber of first instance in whose jurisdiction its registered office is established and before the social insurance section of the disciplinary chamber of first instance. A member who has been banned directly or indirectly from practising medicine or dentistry or who has been banned temporarily from providing care to insured persons may be forced to withdraw from the company by a decision of the other members taken by the enhanced majority provided for in the Articles of Association, excluding members who have been sanctioned for the same or related acts.
