Title III: Wallis and Futuna Islands

The duties of a member of the Board of Directors are free of charge. The persons concerned may be compensated for travel expenses incurred by them in the performance of their duties as directors under the conditions defined by the regulations setting the terms and conditions for the payment of expenses incurred by the travel of civil servants of the State in force in the territory.

The minimum number of Board meetings is set by the school’s internal regulations. It may not be less than four meetings per year. The Board of Directors is convened by its Chairman. Board meetings are not open to the public. The Chairman is responsible for policing the meeting and may suspend or adjourn the meeting. In this case, the Board of Directors must be reconvened within fifteen days.

The Board of Directors may only validly deliberate when the majority of the members in office attend the meeting. However, if the required majority is not reached after the meeting has been duly convened, the deliberations taken after the second convening, which must take place at least three days and at most eight days apart, are valid regardless of the number of members present. The deliberations are kept in a special register in the custody of the agency’s director. This register is kept at the disposal of the directors, who may consult it on site.
