The term of office of the members of the Board of Directors ends at the same time as the term of office or the functions in respect of which they were appointed. If a member ceases to hold office before the normal expiry of his term of office, he shall be replaced within one month in the same manner. In this case, the duties of the new member shall end on the date on which those of the member he has replaced would have ended.

The Director of the agency or, if he is unable to attend, his representative, attends meetings of the Board of Directors in an advisory capacity. He may be assisted by staff of his choice. The secretariat is provided by the agency director.

The Accounting Officer and the Financial Controller attend meetings of the Board of Directors in an advisory capacity.

In the absence of the Chairman and his alternate mentioned in the last paragraph of article L. 6431-2, the meetings are chaired by the oldest member belonging to the categories mentioned in 1°, 2° and 6° of the same article.

In order to ensure their attendance at meetings of the Board of Directors, those of its members who are employees of the agency are granted leave of absence for a period equal to that of their working days. Under no circumstances will these leave entitlements be deducted from the holiday entitlements owed to these employees by their employer.

The duties of a member of the Board of Directors are free of charge. The persons concerned may be compensated for travel expenses incurred by them in the performance of their duties as directors under the conditions defined by the regulations setting the terms and conditions for the payment of expenses incurred by the travel of civil servants of the State in force in the territory.

The minimum number of Board meetings is set by the school’s internal regulations. It may not be less than four meetings per year. The Board of Directors is convened by its Chairman. The procedures for convening meetings are set out in the school’s internal rules. Board meetings are not open to the public. The Chairman is responsible for policing the meeting and may suspend or adjourn the meeting. In this case, the Board of Directors must be reconvened within fifteen days.
